\r\nGuillermo Guerra, a partner in the firm’s Commercial practice, points out that “in 2009 the Professional Companies Act was amended to allow non-professional shareholders to hold up to 49.9% of the share capital, but the professional company continues to have an eminently closed and personalised nature which means that it does not fit in well with the type of listed company open to the capital markets”.
