G\u00f3mez-Acebo & Pombo has advised Labiana Health, a pharmaceutical company specialising in animal and human health and whose shares are listed on BME Growth, on the capital increase carried out as a condition precedent to a \u20ac37 million syndicated financing aimed at refinancing the company\u2019s total indebtedness. The financing was led by Deutsche Bank Spain as facility agent, together with Institut Catal\u00e0 de Finances (ICF), Andorra Banc Agr\u00edcol Reig, CaixaBank and Banco Santander.<\/h4>\n\n\n\n

The capital increase was completed for an amount of \u20ac5.072 million, through the issuance of 1,268,000 new ordinary shares at a price of \u20ac4 per share, with pre\u2011emptive subscription rights granted to existing shareholders.<\/p>\n\n\n\n

The advice also covered the refinancing transaction, which involved the full replacement of the existing alternative financing structure, including the repayment of the financing granted by Miralta Bank, S.A. and Blantyre Capital Limited, with a long\u2011term syndicated banking framework, featuring a progressive amortisation schedule and more extended and orderly maturities, prioritising cash generation and eliminating instruments with potential dilutive effects for shareholders.  <\/p>\n\n\n\n
