GA_P advises Messi’s Socimi on its agreement with Meliá

Gómez-Acebo & Pombo has advised Edificio Rostower (the Socimi owned by Argentine football player Lionel Messi) on the signing of its agreement with Meliá Hotels International for the management of the six hotels operating under the MiM brand.

The agreement, which came into effect on 1 November, includes the incorporation of the properties located in Andorra, Baqueira, Ibiza, Mallorca, Sitges and Sotogrande — comprising around 500 rooms — into The Meliá Collection, Meliá’s luxury brand. Until now, these hotels had been managed by Majestic Hotel Group.

Through this transaction, Edificio Rostower secures the management of its hotels by a first-class operator with extensive experience in the luxury segment and a strong international platform, ensuring high quality standards, a distinctive value proposition for its guests, and an additional boost to the global marketing and distribution of the MiM brand.

For its part, Meliá strengthens its position in the premium segment and expands its collaboration with elite sports figures. The alliance with Messi’s Socimi adds to the Zel Hotels project, developed jointly with Rafael Nadal, and further consolidates the company’s international presence in tourism and sport.

The Gómez-Acebo & Pombo team involved in the transaction included Augusto Piñel, Jacobo Palanca and Beatriz Dosdá (Corporate), Javier Vinuesa and Iván Escribano (Tax), Enrique Isla and Carmen García (Real Estate), and Bárbara Sainz de Vicuña and Mónica Esteve (Intellectual Property).

Danish cases in Spain: Beneficial owner requirement not applicable to the non-resident income tax exemption of interest payments to EU residents
Contrary to the stance taken by the Audiencia Nacional, the Valencia High Court of Justice takes the view that the exemption of interest payments to European Union residents should be applied in accordance with the terms that the national legislature has chosen to keep, without the additional requirements of Directive 2003/49/EC. If abusive practices are found to exist, tax regularisation must be carried out by resorting to one of the general anti-abuse clauses provided for in the Taxation Act.

The risks of applying the doctrine according to which a contract is deemed withdrawn from if neither party to the same appears to want it.
