GA_P advises Corporación Financiera Alba on the acquisition of a stake in Profand Fishing Holding
Gómez-Acebo & Pombo has advised Corporación Financiera Alba, a company listed on the Continuous Market since 1986 and majority owned by the March Group, on the investment of 100 million euros in Profand Fishing Holding. Alba’s stake in the company will be approximately 23.71% of its share capital, acquired through the purchase and sale of shares and the simultaneous subscription of a capital increase.
Profand is one of the leading companies in the fishing sector in Spain and a world leader in the fishing and marketing of cephalopods, as well as in the sale of fish in protective atmosphere trays. This investment is part of Alba’s strategy of becoming a leading minority shareholder in Spanish and European family-owned companies, listed and unlisted, leaders in their sectors of activity, with the aim of contributing to their long-term development.
The GA_P team was formed by Augusto Piñel, Andrés Castro and Mónica Ojeda, partner, associate and paralegal, respectively, in the Corporate area.

A first ranking mortgage does not prevent a creditor from accelerating loan maturity due to debtor insolvency
If the creditor has a secured claim (even if the debt is covered by the "value of the security", i.e. the claim is in the money), the debtor cannot avoid the effects of the to-term forfeiture by appealing to the existence of that security because the guarantee referred to in Article 1129(1) of the Civil Code (avoiding to-term forfeiture) must then be another additional guarantee.
