GA_P advises Grupo Lamosa on the acquisition of Grupo Baldocer
Gómez-Acebo & Pombo has advised Grupo Lamosa on the acquisition of Grupo Baldocer for €425m (i.e. €354m at closing and a second payment of no less than €71m).
Grupo Lamosa is the world’s second largest ceramics producer, with a presence in 9 countries, focused on the manufacture and marketing of ceramic tiles, adhesives and insulation, with a track record of more than 130 years in the building materials industry.
Last year it manufactured 215.3 million square metres and had a global turnover of €1,700m. The group has a strong position in Latin America, with 19 production plants on the continent, and another in Spain – the Cerámicas Balcaire plant in Call d’Uixó, which is part of Roca Tiles, which the group has also owned since 2021 (an operation in which we also advised Grupo Lamosa).
The GA_P team advising on the process was formed by a team led by Pablo Fernández Cortijo and Constantino Pérez Salgado, partner and of counsel of Corporate and M&A, and Corporate associates Javier Reyna, Carolina Orri and Rodrigo Fernández-Chillón.

The Directive amends the audit directive, the accounting directive, the corporate sustainability reporting directive (CSRD) and the corporate sustainability due diligence directive (CSDDD).

Despite classifying the association as a commercial relationship and not an employment relationship, compensation amounts for termination of contract are allowed if they match those accepted by the insolvency practitioners, just as remuneration amounts are allowed if said practitioners had decided to accept remuneration in some months but not in others.

Notarial enforcement of pledges. Is Article 1872 of the Civil Code mandatory? In what sense?
The clause agreed upon must comply, for greater certainty, with the provisions of the new judicial enforcement procedure. It will be necessary to agree on an appraised value, which is not required in Article 1872 CC, because otherwise the award would be similar to a ‘forfeiture proviso’ (pactum commissorium), which the Civil Code neutralised with the drastic imposition of extinguishment of the debt in its entirety.
