GA_P advises Indra on the launch of Indraventures I venture capital fund
Gómez-Acebo & Pombo has advised Indra Sistemas on the launch of a private equity fund named Indraventures I, FCR, registered with the Spanish Securities Market Commission (CNMV), aimed at investing in the development of dual-use defence technologies. The fund is targeting commitments of up to €200m from professional investors, both public and private.
The fund will focus its investment strategy on technology-based companies with dual-use capabilities and high growth potential in the aerospace, cybersecurity, defence and emerging technology sectors (such as artificial intelligence, edge computing, quantum technologies, and virtual and augmented reality, among others). Investments will be directed mainly at companies in expansion and growth stages with scalable business models, while also allowing investments in early-stage and growth capital companies.
Indraventures I will allocate at least 51% of its capital to Spanish companies and will have an initial term of ten years, extendable for a further two years. The fund may also invest in other EU and NATO member states. Its investment strategy contemplates taking minority stakes as a general rule, although it may also acquire majority positions where required by the specific circumstances or the relevant business plan. Indra Sistemas, S.A. will act as investment and divestment adviser to the fund by providing advisory services to the management company.
The GA_P team has provided legal and tax advice throughout the entire process of structuring, incorporation, launch and registration of the fund. The team was led by Guillermo Guerra and Andrea Esbrí, partner and associate in the Corporate team, and included the collaboration of Santiago Ibáñez, associate in the Corporate team, and of Luis Cuesta, partner in the Tax team.
