Gómez-Acebo & Pombo advises Fire Ventures on its launch and registration with the CNMV

GA_P has advised on the restructuring, regulatory design, and registration with the National Securities Market Commission (CNMV) of Fire Ventures, FCRE, S.A., a European venture capital fund established with the aim of promoting the consolidation of the fire protection sector in Spain.

The fund, which aims to reach a size of 100 million euros, will pursue a growth strategy based on the acquisition and integration of small and medium-sized companies with high growth potential.

The transaction represents a significant milestone in the Spanish specialized venture capital market, as it focuses on a sector characterized by high fragmentation and significant opportunities for consolidation. The fund was established with the goal of becoming a leading platform for the integration of companies dedicated to fire protection, contributing to the professionalization and growth of this industry.

The fund’s management company is GVC Gaesco Alternative Investments, SGEIC, S.A., while Iberian Ventures Investments, S.L. will serve as an advisor, contributing its expertise in corporate consolidation processes and its in-depth knowledge of the sector.

Fire Ventures will invest primarily in Spanish companies dedicated to fire protection and related activities, relying on a “buy and build” strategy aimed at generating value through the acquisition and integration of specialized operators. This initiative responds to market trends and growing investor interest in sectors related to safety, maintenance, and essential services.

The Firm provided advice on the legal and regulatory structuring of the vehicle, as well as its registration process with the CNMV, enabling the launch of an investment platform capable of leading future consolidation transactions in the sector.

Are company directors directly liable for torts attributable to the company?
Debt from liability in tort for third-party damage or loss arises directly against the directors, without prejudice to the fact that, pursuant to Article 38 CC, it also arises simultaneously against the company, to which the non-contractual acts or omissions of its directors are also attributed. This is so true that the liable company (in debt, for example, with the tax authorities as the person liable for the surcharge and the tax penalty owed) may bring an action for contribution against its directors after settling the debt.

The Court of Justice, in the Stellantis Portugal case, confirms that a transfer pricing adjustment intended to ensure a specific profit margin, even if certain repair or warranty costs are partially taken into account in its calculation, does not necessarily lead to the conclusion that there is an independent supply of services subject to value-added tax. The determining factors are the existence of a legal relationship involving reciprocal consideration and a direct link between the identifiable service and the consideration received.

Voluntary takeover bids and squeeze-outs
The Judgment of the Court of Justice of the European Union (Fifth Chamber) of 13 May 2026 (Korfin and Sempiola v Slovnaft, Case C-225/25) clarifies the concept of a takeover bid for the purposes of Article 2 of the 2004 Takeover Bids Directive, such that an offer made to the holders of securities of a company with a view to acquiring all or some of those securities does not fall within the concept of a takeover bid where it is made by an offeror who already controls the offeree company. Consequently, based on that court’s interpretation of the Directive’s provisions, there is no right of squeeze-out in such voluntary takeover bids.

Joint interpretative instrument between Spain and Brazil on the classification of Brazilian juros
In this paper we address the controversy that the taxation of Brazilian interest has sparked both during the period when the recast version of the Corporate Income Tax Act was in force and since the Corporate Income Tax Act came into effect. Its possible classification, either as dividends or as interest, has been analysed on several occasions by Spanish courts and tax authority, the latter having recently agreed with its Brazilian counterpart to treat it as “interest” for the purposes of the Spain/Brazil Double Taxation Convention.

Supreme Court clarifies VAT treatment of intra-group transfers of shares carried out by mixed holding companies
The Supreme Court has established ‘cassational’ doctrine regarding the treatment under value-added tax of intra-group transfers of shares by mixed holding companies. It is confirmed that the intra-group transfer of shares constitutes a financial activity that cannot generally be classified as a management support activity. Likewise, it is acknowledged that an intra-group transfer of shares may not be subject to said tax when it involves the indirect transfer of an independent economic unit, subjecting such exclusion to the circumstances surrounding the transaction.
