GA_P advises Nueva Pescanova on the issuance of promissory notes in the MARF
Gómez-Acebo & Pombo has advised Nueva Pescanova in the incorporation of its promissory notes programme in the MARF.
This is the first issue launched by Nueva Pescanova in the Alternative Fixed-Income Market (MARF) with a programme that may reach a balance of €50m. As stated in the news of the operation in Expansión, “The fishing group is making its debut in this type of short-term debt issuance, it explains, to “diversify” its sources of financing and at the same time to access “in a flexible way” professional investors.” Abanca is the arranger, while the placing of the issues will be carried out by Abanca itself and also by Banco Santander. Deloitte Financial Advisory has acted as registered advisor.
The GA_P team has been formed by: Guillermo Guerra, partner of Corporate, Lázaro García, associate of Banking and Joaquín Beltrán, paralegal in Banking.

Notarial enforcement of pledges. Is Article 1872 of the Civil Code mandatory? In what sense?
The clause agreed upon must comply, for greater certainty, with the provisions of the new judicial enforcement procedure. It will be necessary to agree on an appraised value, which is not required in Article 1872 CC, because otherwise the award would be similar to a ‘forfeiture proviso’ (pactum commissorium), which the Civil Code neutralised with the drastic imposition of extinguishment of the debt in its entirety.

Financial institutions’ customer services following Act 10/2025

This paper analyses the subject matter scope of application of a ‘director liability to shareholder claim’ (claim for payment of damages filed by a shareholder against a company director).
