GA_P advises Uriach on the acquisition of the German group Pascoe
Gómez-Acebo & Pombo has advised Grupo J. Uriach, S.L.U., a Catalan company specialized in the Natural Consumer Healthcare sector, in the acquisition of the German group Pascoe, leader in this sector in Germany with more than 125 years of experience.
The alliance allows Uriach to strengthen the group’s presence in Germany, the Czech Republic and Slovakia, among others. With the acquisition of Pascoe and, once the corresponding regulatory authorizations are obtained for the formalization of the acquisition of the French group Laboratories Ineldea with which an agreement was reached at the end of 2023, Uriach will consolidate its position as leader of the Natural Consumer Healthcare business in Europe with the objective of having a turnover of more than 500 million euros in 2024.
The GA_P team has been led by Daniel Marín, partner of Corporate and has counted with the participation of Carolina Posse, Beatriz Dosdá and Beatriz Riverola, associates of Corporate. The transaction has also been advised by Andrea Díez de Uré and Jesús Urriza, Competition associates, and Mariana Carreño and Iñigo Arrieta, Banking associates.

A first ranking mortgage does not prevent a creditor from accelerating loan maturity due to debtor insolvency
If the creditor has a secured claim (even if the debt is covered by the "value of the security", i.e. the claim is in the money), the debtor cannot avoid the effects of the to-term forfeiture by appealing to the existence of that security because the guarantee referred to in Article 1129(1) of the Civil Code (avoiding to-term forfeiture) must then be another additional guarantee.
