GA_P advises VGO on the acquisition of a stake in Homs Rentals

Gómez-Acebo & Pombo has advised VGO Capital, a British private equity fund, on the acquisition of a stake in Homs Rentals, a company specialized in the rental of industrial machinery, through the purchase of the stake held by Suma Capital, a Barcelona-based private equity firm.

The transaction will allow Homs Rentals to continue its growth and expansion trajectory. With the entry of VGO Capital, the company could accelerate its digitalisation process and strengthen its position in the Spanish market.

The GA_P team was formed by Álvaro Mateo, Jorge Martín, José Luis Rodríguez, Inés López, Rodrigo García and Ignacio Casariego, partner, counsel and associates of the Corporate team and Javier Gazulla, partner of the Tax team.

A first ranking mortgage does not prevent a creditor from accelerating loan maturity due to debtor insolvency
If the creditor has a secured claim (even if the debt is covered by the "value of the security", i.e. the claim is in the money), the debtor cannot avoid the effects of the to-term forfeiture by appealing to the existence of that security because the guarantee referred to in Article 1129(1) of the Civil Code (avoiding to-term forfeiture) must then be another additional guarantee.
