GA_P has advised Repsol-Petronor on the first synthetic fuels plant in the port of Bilbao with Aramco
Gómez-Acebo & Pombo has advised Repsol-Petronor on the ¤138 million joint investment with Saudi Aramco for the construction of the first synthetic fuels Demo plant in the port of Bilbao, having signed the corresponding partners’ agreement on 28 June. The facility will be ready in 2025.
The products produced in this Demo plant are expected to be used for any vehicle with a combustion engine, such as cars, planes, lorries or ships. In addition, the same site will contain an electrolyser in which Alba Emission Free Energy, S.A., Enagás Renovable, S.L.U. and Ente Vasco de Energía (EVE) will participate.
The synthetic fuels demo plant is a technological challenge and will be one of the first in the world to use green hydrogen and CO2 as the only raw materials. It is scheduled to come into operation in the second half of 2025, with an initial capacity of more than 1,750 tonnes per year.
The renewable hydrogen is produced from water by separating the oxygen and hydrogen particles, using electricity from 100% renewable energy sources. So far, the project has been carried out by a team of scientists at the Repsol Technology Lab, in collaboration with Petronor and Alba Emission Free Energy, S.A.
Advised on this matter by: Luis García del Rio and Almudena Larrañaga Ysasi-Ysasmendi, partners of procesal.

A first ranking mortgage does not prevent a creditor from accelerating loan maturity due to debtor insolvency
If the creditor has a secured claim (even if the debt is covered by the "value of the security", i.e. the claim is in the money), the debtor cannot avoid the effects of the to-term forfeiture by appealing to the existence of that security because the guarantee referred to in Article 1129(1) of the Civil Code (avoiding to-term forfeiture) must then be another additional guarantee.

A good ruling on financial assistance: collateral given to secure third-party borrowings is not invalid
This latest Supreme Court ruling on the prohibition of financial assistance in the purchase of shares in the assisting company (assisting as ‘borrower for third party debt’) is to be praised, erasing the bad taste left by the reading of the immediate precedent (Supreme Court Judgment of 20 April 2023, Ezentis) which held an agreement to underwrite the value of the shares sold by the company invalid.
