Restructurings in Spain and the new legal framework. Two years after the approval of the reform of the Insolvency Law, the new legal framework is positioning Spain as an international benchmark in the restructuring market. The new regulations are transforming the way companies, investors and creditors approach these operations, encouraging anticipation and opening up opportunities for innovative domestic and international processes.
The team was present in most of the recent large transactions, such as Celsa Group or Telepizza, and foresees an increase in mid-market transactions and more M&A activity linked to these situations: ‘Under the new rule, the viability of the company is what is relevant and not the capital or the particular interests of the partners’. Overall, restructurings in Spain are gaining relevance as the new legal framework becomes more established.

When the company is wound up, the immediate employment consequence should be the termination of employment contracts. Employment law refers to the procedure for collective redundancies for that purpose, but it is questioned whether, together with the procedure, grounds should also be required to justify such a business decision.
