GA_P advises Indra on its joint venture with Edge Group

Gómez-Acebo & Pombo has advised Indra Sistemas on its joint venture, named PULSE, with EDGE Group (Abu Dhabi) to develop and manufacture state-of-the-art radar systems.

The objective of the new joint venture is to increase radar production capacity and sales, as well as to provide the United Arab Emirates with new radar capabilities through the transfer of knowledge and experience. The agreement will result in the setting up of two companies. The first will be 50.01% owned by Indra and 49.99% by EDGE, and will focus on the development, design, integration, sale and maintenance of state-of-the-art radars. The second, owned 50.01% by EDGE and 49.99% by Indra, will be responsible for the manufacture of these radars in a new state-of-the-art factory in Abu Dhabi.

CJEU requires actual neutralisation of tax discrimination against non-resident collective investment schemes or, where there is tax transparency, against their unitholders
The Court of Justice of the European Union has ruled in response to the Supreme Court that imposing a heavier tax burden on U.S. regulated investment companies than on resident collective investment schemes constitutes a restriction on the free movement of capital. Although such a restriction may be neutralised by the applicable double taxation treaty, that neutralisation must not be a merely theoretical possibility but must actually and fully be implemented, including with respect to the unitholders.
