Gómez-Acebo & Pombo has appointed Andrew Ward as its new partner for Competition and European Union Law.
Andrew Ward, until now coordinator of the Competition and EU Law Group at Cuatrecasas, is a recognised expert in merger control, antitrust investigations, risk management (including the design and implementation of compliance programmes) as well as state aid and other EU law issues.
Recognised as Band 1 by the prestigious legal directory Chambers & Partners, as a Leading Individual in Legal500, and as a Global Elite and Thought Leader in the Who’s Who Legal rankings for Competition, Andrew has been Counsel to the Spanish Association for the Defence of Competition and is currently Officer of the Antitrust Section of the International Bar Association.
A graduate in law from Cambridge University, he has been a Barrister of England & Wales (Lincoln’s Inn) since 1997, worked as an associate in the Brussels office of Cleary Gottlieb Steen & Hamilton between 1998 and 2002 and has been admitted to practise as a solicitor in Spain since 2002.
This incorporation is in line with the Firm’s strategy to continue to strengthen the transactional business and provide the best advice on the most sophisticated transactions in the market. Andrew’s incorporation reinforces the Competition area led by Iñigo Igartua from the Barcelona office, which also counts with Miguel Troncoso as partner and head of the Brussels office.
Iñigo Igartua, coordinating partner of the Competition practice highlights: “Andrew’s incorporation will be an important boost for the team and for the Firm’s transactional business. We are sure that a professional with his background and experience will help us to further improve the service we provide to our clients”. Andrew comments: “I am delighted to be joining GA_P. It is a top-tier firm, with an excellent team of professionals, a lot of ambition and a firm commitment to strengthening its capabilities, particularly in transactional, where they want to go one step further and position themselves as industry leaders. I am delighted that they think I can contribute and excited about the challenge ahead”.

Unanimous shareholders' agreements and dividends in specie
The Supreme Court and the Madrid Provincial Court, following established legal doctrine, have reiterated that a party to a unanimous shareholders’ agreement acts in bad faith if he or she challenges a company resolution passed in compliance with said shareholders’ agreement. In this case, the shareholders’ agreement provided for the possibility of paying dividends in kind, and the contested resolution — which was passed by a majority at the shareholders’ meeting — transferred certain real estate properties to one of the shareholders (with his consent) in payment of the dividend due to him.
