Gómez-Acebo & Pombo advises Indra Group on the acquisition of a 30% stake in TRC Informática

Gómez-Acebo & Pombo has advised Indra Sistemas, S.A., through its subsidiary IndraMind, S.L.U. (“Indra Group“), on the acquisition of a 30% stake in the share capital of TRC Informática, S.L. (“TRC“), a company specialized in cybersecurity solutions and the protection of information systems and networks in strategic areas of national interest.

TRC is one of Spain’s leading technology companies in the cybersecurity sector, with revenues exceeding €120 million and a workforce of more than 400 professionals. Its capabilities range from artificial intelligence solutions for border defense to sensor integration for emergency response systems and the provision of cybersecurity services in the Defense and Home Affairs sectors. TRC is the parent company of a group that also includes several subsidiaries in Spain and Portugal, as well as a branch office in Guatemala.

Through this transaction, Indra Group, via IndraMind, strengthens its cybersecurity value proposition by complementing its offering in the specific field of digital asset protection, against a backdrop of growing European and national commitment to strategic autonomy and technological sovereignty.

The transaction is subject to the fulfillment of customary conditions precedent for transactions of this nature, including clearance from the Spanish National Commission on Markets and Competition (CNMC).
