GA_P advises Berria Bikes on the sale of 49% of the company to Suma Capital
Gómez-Acebo & Pombo has advised the partners of Berria Bikes, and the company itself, on the drafting and negotiation of the relevant Share Purchase and Sale Agreements and Investment Agreement and Shareholders’ Agreement, as well as on the relevant corporate agreements and senior management contracts, in connection with the acquisition of a 49% stake by certain funds managed by Suma Capital for a value of €15M (between cash out and cash in).
Berria Bikes, a company from Castilla-La Mancha, was founded in 2012 by Spanish-Swiss professional cyclists David and José Vitoria.
Through the mid-market fund SC Growth II, Suma Capital has taken 49% of Berria in a combined share purchase and capital increase transaction that has been closed for approximately €15 million.
The GA_P team is formed by Miguel Ángel Melero, of counsel of Corporate, Miguel Azpeitia, junior associate of Corporate, Iván Escribano, senior associate of Tax and Laura Castillo, senior associate of Labour.
