GA_P advises EBN Banco de Negocios on the constitution of the fund for Pensium’s bond programme
Gómez-Acebo & Pombo has advised EBN Banco on the incorporation of the investment fund for Pensium’s bond programme.
On Thursday 29th June Pensium has registered a EUR 200 million securitisation bond programme in the Mercado Alternativo de Renta Fija (MARF) in order to finance its activity and growth.
EBN Titulización participates as a registered advisor in the MARF and is the management company of the securitisation fund, while EBN Banco de Negocios will be the placement entity of the bonds and the Firm has acted as legal advisor in the constitution of the fund.
The GA_P team was formed by Guillermo Guerra, partner of the Commercial Law department, Fernando Herrero and Irene Medina de Alba, partner and associate of the Banking and Finance department.

Payment service providers’ rectification of unauthorised or incorrectly executed payment transactions: user obligations
The Court of Justice of the European Union (Fourth Chamber), in its judgment of 1 August 2025, case C-665/23, IL v. Veracash SAS, concludes that a payer is deprived of the right to reimbursement of the amount of an unauthorised transaction if he or she delayed in notifying his or her payment service provider of the unauthorised payment transaction, even though he or she did so within 13 months from the debit date. This interpretation of the Payment Services Directive is applicable in Spain (Art. 43 RDL 19/2018) and appears to be retained in the future Regulation on payment services.

Contractual termination by mutual abandonment not claimed by any party?
The risks of applying the doctrine according to which a contract is deemed withdrawn from if neither party to the same appears to want it. The content of the Directive on credit servicers and credit purchasers, only of non-performing credit (NPC), has been transposed into Spanish law more than a year late.
