GA_P advises Indra Sistemas in the takeover of Tess Defence
Gómez-Acebo & Pombo has advised Indra, an Ibex-35 listed company, on the acquisition of a controlling stake in Tess Defence, a Spanish company specialised in the design and production of state-of-the-art military ground vehicles.
With this agreement, Indra strengthens its presence in the land defence industry and becomes the main shareholder of Tess Defence, which becomes the reference company for the Ministry of Defence’s land armoured vehicle programmes.
The Gómez-Acebo & Pombo team was formed by Guillermo Guerra and Emiliano Moreno, partner and associate of Corporate, together with Isabela Crespo, associate of Intellectual Property, Juan Ignacio Romero, counsel of Public Law and Regulated Sectors, and Andrew Ward and Victoria Rivas, partner and associate of Competition and EU Law.

Direct harm due to de facto expulsion: Article 241 of the Companies Act (Supreme Court Judgment, First Chamber, 22 October 2025)
This paper analyses the subject matter scope of application of a ‘director liability to shareholder claim’ (claim for payment of damages filed by a shareholder against a company director). Although, as a general rule, shareholders cannot claim compensation for the harm caused to their share in a company’s estate, compensation for de facto expulsions or harm to liquidating dividends may be awarded through a director liability to shareholder claim.

Contractual termination by mutual abandonment not claimed by any party?
The risks of applying the doctrine according to which a contract is deemed withdrawn from if neither party to the same appears to want it.
